Terms of Service

These Terms are an agreement between you and DegenPhone Labs (the “Company”). “We”, “us”, and “our” refer to DegenPhone Labs; “you” refers to you, the user of the DegenPhone platform and related services.

By using our services, you agree to these Terms. If you do not agree, please do not use our services.

1. Introduction

DegenPhone is a decentralized, non-custodial service that enables users to mint and trade blockchain-based mobile phone numbers in the form of NFTs. Each NFT is backed by a real Tier1 eSIM, enabling secure, anonymous access to messaging and call services via our web interface. The platform operates on the TON blockchain.

1.1 Account and Wallet

Accessing DegenPhone requires a TON-compatible wallet. Your number is tied to your wallet address. We do not have access to your private keys or credentials and cannot help recover lost wallets or NFTs.

1.2 Ownership

Ownership of minted numbers is permanent, verifiable on-chain, and irreversible. All sales are final. You may freely transfer or sell your number through any compatible platform.

1.3 Fees, Taxes, and Local Regulations

You are responsible for any applicable local laws, taxes, and fees. DegenPhone may charge transaction or platform fees which will be disclosed in advance.

1.4 Availability

We reserve the right to limit access based on geographic or legal restrictions. We are not liable for loss resulting from these restrictions.

2. Functionality of the Platform

Users can acquire phone numbers through timed auctions and access eSIM-based communication features via the web app.

2.1 Vault Auction Terms

Terms and Conditions of Participation in the Vault Auction

Auction Mechanism: The Vault Auction is conducted via smart contract, which autonomously governs the distribution and finality of all transactions. By participating, you agree that bids, purchases, and allocations are irreversible once confirmed on-chain.

Vault Structure: Each Vault contains a fixed set of NFTs (phone numbers). The supply in a Vault is immutable and cannot be increased or altered after deployment.

Release Schedule: The first Vault Auction will contain 2,000 NFTs. Following the close of the auction, a vesting period of 7 days will apply before users can claim or transfer their NFTs.

Price Structure: The initial price of NFTs is set by deployment of smart contract.

Each subsequent purchase increases the price of the next NFT based on its rarity tier:

  • Common: +0.035 TON
  • Silver: +0.5 TON
  • Gold: +2 TON
  • Diamond: +20 TON
  • Legendary: +100 TON

This dynamic pricing is hardcoded into the smart contract. The project team cannot alter, pause, or reverse these mechanics once deployed.

Ownership & Transferability: Upon release, NFTs are fully transferable in accordance with the underlying smart contract and applicable marketplace rules. Ownership is recorded on-chain and no off-chain claims shall supersede blockchain records.

No Guarantees: NFTs in the Vaults represent digital collectibles only. They do not represent monetary value, equity, securities, or claims to future profits. Participants acknowledge that value may fluctuate and is not guaranteed.

User Responsibility: Participants must ensure they have compatible wallets and sufficient funds for bids and gas fees. The project is not liable for user errors, failed transactions, or loss of private keys.

Changes: The project team reserves the right to update or amend auction parameters prior to launch but not after a Vault contract has been deployed.

By participating, you acknowledge and accept these terms in full.

2.2 Communication Capabilities

DegenPhone currently supports incoming SMS. Voice support is under development and scheduled for release in Q4 2025.

2.3 Responsibility for Use

You are solely responsible for all actions taken using your number. Misuse, including fraud or spam, may result in service suspension.

2.4 Top Ups

Every two years after the initial purchase, you must top up your number to maintain access.

You can top up your number with TON or USDT to pay for services. We may charge fees for top-ups, which will be disclosed in advance.

NFT ownership is not affected by top-ups. You retain ownership of the NFT even if you do not top up your number.

2.5 Misuse of Services

Prohibited activities include illegal use, impersonation, spam, harassment, and fraud. We may suspend service access if misuse is detected. NFT ownership on-chain is not revoked, but service access can be restricted.

2.6. Launchpool

The Launchpool feature allows users to deposit their TON in exchange for NFT rewards. Details on eligibility and rewards are provided on the Pool page.

Users are entitled to distribution of NFT rewards based on the floor price of 100TON and receive bonuses for early participation. Details about the bonus structure can be found on the Pool page.

The distribution is subject to change based on the total amount staked and the number of participants.

We reserve the right to modify the Launchpool terms, including the distribution mechanism, at any time. Users will be notified of any changes through our official communication channels.

3. Integration, Limitations, and Third-Party Use

Your DegenPhone number may be used with external services, but we do not guarantee compatibility or ongoing support from third parties.

3.1 Service Independence

Your number remains active regardless of integration status with any other platform. Third-party usage is subject to their policies.

3.2 Programmatic Use

Developer APIs and automation tools are planned but not guaranteed. Features and rollout may change at any time.

4. Risks and Guarantees

DegenPhone NFTs and services are experimental and may change in functionality or value. All assets are provided “as is” with no guarantees of future performance, utility, or resale value.

5. Termination of Access

We may suspend platform access if you violate these Terms or if required by law or regulatory action. NFT ownership on-chain remains unchanged, but platform access may be revoked at any time.

Telecom provider reserves a right to request users data with a KYC procedure If required by law or regulatory action. NFT ownership on-chain remains unchanged, but eSim access may be revoked at any time.

We may also terminate access for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Failure to comply with local laws or regulations
  • Technical issues or security concerns

In the event of termination, you will not be entitled to any refund or compensation for lost access to your number or services.

We reserve the right to modify or discontinue the platform at any time without notice. We are not liable for any loss of access or functionality resulting from such changes.

6. Limitation of Liability

DegenPhone Labs is not liable for any damages or losses arising from:

  • Fraudulent or illegal use of your number
  • Loss of access to your wallet or credentials
  • Platform downtime or service interruptions
  • Smart contract failures or blockchain network issues

You use the platform at your own risk. All blockchain-based activity carries inherent technical and financial risk.

7. Changes to These Terms

We may update or modify these Terms at any time. Major changes will be posted on this page. Continued use of the platform constitutes acceptance of the revised Terms.

8. Resale Platform

8.1 Description of Resale Service

The DegenPhone resale platform allows users to buy, sell, and trade DegenPhone NFTs through smart contracts. DegenPhone acts as an intermediary between users and cannot be considered a party to any contract entered into by users. Relationships between users are subject to separate agreements.

You cannot address any claims against us regarding NFTs purchased on the DegenPhone resale platform. We accept no responsibility for the legitimacy, authenticity, or other characteristics of any NFT listed or traded on our platform. All transactions are made by users at their own risk.

DegenPhone has no obligation to become involved in any disputes that may occur between users or between users and third parties.

8.2 Terms of Sale

All transactions on the resale platform are carried out using smart contracts on the TON blockchain. You agree and understand all risks associated with blockchain operations. We have no control over blockchain transactions, which are executed at your sole discretion and risk.

When you purchase an NFT, you receive ownership of the unique digital token and associated phone number functionality. All transactions are final - we do not provide refunds under any circumstances.

NFTs are available for purchase at listed prices. We reserve the right to cancel transactions if you have insufficient funds to complete the purchase.

8.3 Fees and Royalties

By using the resale platform, you agree to pay all applicable fees and authorize DegenPhone to automatically deduct them from transactions:

  • Transaction fees (gas fees) for blockchain operations
  • Platform service fee of 7.5% of the sale price

Due to blockchain operations, exact fee amounts cannot be shown before transaction completion. You must maintain sufficient TON in your wallet to cover gas fees.

We reserve the right to change fee structures at any time at our sole discretion.

8.4 User Responsibilities

Users are solely responsible for:

  • Complying with all applicable laws and regulations
  • Paying any taxes related to their transactions
  • Verifying the authenticity and characteristics of NFTs before purchase
  • Maintaining wallet security and access credentials

8.5 Platform Access and Termination

We reserve the right to suspend, block, or cancel access to the resale platform for any user at any time without notice. We may also freeze or block NFTs listed on the platform if required.

Access may be terminated for violations of these terms, fraudulent activity, or failure to comply with applicable laws.
